General Dynamics (GD) Buys Force Protection (FRPT)

November 7, 2011 - General Dynamics (GD) is buying Force Protection Inc. (FRPT) stock today for a bid of $360 million. Shares of Force Protection Inc. (FRPT) are up 30% to $5.50 in pre market trading.

General Dynamics and Force Protection Agree to Terms of Acquisition

General Dynamics (NYSE:GD) and Force Protection, Inc. (NASDAQ:FRPT) today announced that they have entered into a definitive merger agreement under which General Dynamics will acquire Force Protection for a price of $5.52 per share of common stock, or approximately $360 million.

Force Protection will become a part of General Dynamics Land Systems, the Sterling Heights, Mich.-based designer and manufacturer of Abrams main battle tanks and Stryker infantry combat vehicles.

"Force Protection complements and strategically expands General Dynamics' armored vehicle business, adding new products to the expansive portfolio of combat vehicles that we currently manufacture and support," said Mark C. Roualet, president of General Dynamics Land Systems. "In addition, Force Protection's skilled workforce provides high-quality support and sustainment services to an installed fleet of approximately 3,000 vehicles, strengthening our ability to support assets deployed with U.S. forces around the world. With this acquisition, we will create new opportunities to serve domestic and international customers alike."

Tenet Healthcare Corp. (THC) Buyout Offer

Tenet Healthcare Corp. (THC) has received a buyout offer from Community Health Systems, Inc. (NYSE:CYH) for $6.00 per share. Tenet Healthcare Corp. (THC) is currently trading at $6.51 in pre market, up 52%.

Tenet Healthcare Corporation (NYSE:THC - News) today confirmed that it has received a proposal from Community Health Systems, Inc. (NYSE:CYH - News) to acquire all of the outstanding shares of Tenet for $6.00 per share in cash and stock.

Tenet noted that Community Health’s proposal is identical in all material respects to a Community Health proposal received by Tenet on November 12, 2010. The Tenet Board of Directors, after consultation with its financial and legal advisors, unanimously determined that the prior Community Health proposal was not in the best interests of Tenet or its shareholders. In making its determination, the Tenet Board considered that Community Health’s opportunistic proposal would transfer the growth potential inherent in Tenet to Community Health without adequately compensating Tenet shareholders. The Tenet Board believes that the interests of Tenet shareholders would be better served by benefiting from 100% of the upside inherent in Tenet rather than accepting Community Health’s inadequate proposal. In addition, the Board has serious concerns about Community Health’s ability to integrate and operate a business like Tenet.

Potash Corp. of Saskatchewan, Inc. (POT) Down 4.5%

Shares of Potash Corp. of Saskatchewan, Inc. (POT) are down 4.5% in pre market this morning after Canada is blocking BHP's bid for the company

Potash Corp. of Saskatchewan, Inc. (POT) is trading at $139 in pre market today and has cracked $140 for the first time in awhile. Potash Corp. of Saskatchewan, Inc. (POT) will now have support down around $135 but I can't see the stock falling below $130 any time soon. Potash Corp. of Saskatchewan, Inc. (POT) is probably worth around $150 due to this deal being old and the improving stock market conditions. The problem is the Potash Corp. of Saskatchewan, Inc. buyout premium will be taken out of the stock.

Potash Corp. of Saskatchewan, Inc. is a strong buy below $130.

3Par Accepts Dell's Raised Bid of $27/Share

Dell announced today that 3PAR has accepted its increased offer to acquire the storage leader for $27 per share in cash, or approximately $1.8 billion, net of 3PAR’s cash. The new Dell-3PAR accord was reached under a provision in the existing agreement between the companies that allows Dell to match competing bids.

Dell continues to believe that the acquisition of 3PAR, with its industry-leading storage technology, is important to its customers and will enhance Dell’s position in utility-storage solutions. Consistent with its previous rationale for the acquisition, Dell also believes that its global brand and broad global reach will dramatically accelerate 3PAR’s revenue growth.

The cash tender offer, through a wholly-owned Dell subsidiary, is for all outstanding shares of 3PAR common stock, without interest, and subject to reduction for any federal back-up withholding or other taxes. The offer documents will be amended to reflect the new offer price, but this will not alter the timing of the acquisition. Unless extended, the tender offer and any withdrawal rights to which 3PAR stockholders may be entitled will expire at midnight, EDT, on Sept. 20, 2010. Following acceptance for payment of shares in the tender offer and completion of the transactions contemplated in the merger agreement, 3PAR will become a wholly-owned subsidiary of Dell. Dell Bids $24.30 for 3Par Inc: Dell offer appears Good!

Dell Inc. (DELL) raised it's bid for 3Par Inc (PAR) this morning to $24.30. 3Par appears to be accepting the offer leaving Hewlett-Packard (HPQ) in the dust.

Dell Inc. (DELL) announced today that 3PAR has accepted its increased offer to acquire the storage leader for $24.30 per share in cash, or approximately $1.6 billion, net of 3PAR's cash. 3PAR is a leading global provider of storage solutions with advanced data management features for multi-tenant cloud-computing environments.

Dell had previously signed an agreement to acquire 3PAR for $18 per share, with a provision for matching competing bids. Dell and 3PAR have signed an amendment to the agreement reflecting the new offer price. Full Article Here

Potash Corp (POT) Stock on Fire - BHP Billiton Offer to Jump?

Shares of Potash Corp. of Saskatchewan, Inc. (POT) are up for the second straight day after the conpany received a buyout offer from BHP Billiton Ltd. (BHP) on Tuesday. At this point, investors are speculating that another company will step up for a higher bid or BHP Billiton will raise their offer. Catharine Sterritt, a guest on CNBC, thinks Potash Corp may get taken over for $160 per share.

BHP Billiton continues to review its options and will make a further announcement in due course.

Merck MRK buys Schering-Plough SGP 3/9/09

The Dow Jones Futures are taking a bit of a nose dive as Dow component Merck ( MRK ) buys Schering-Plough ( SGP ) for 41.1 Billion today, 3/9/09.

March 9, 2009 - Merck & Co., Inc. (NYSE: MRK) and Schering-Plough Corporation (NYSE: SGP) today announced that their Boards of Directors have unanimously approved a definitive merger agreement under which Merck and Schering-Plough will combine, under the name Merck, in a stock and cash transaction. Under the terms of the agreement, Schering-Plough shareholders will receive 0.5767 shares and $10.50 in cash for each share of Schering-Plough. Each Merck share will automatically become a share of the combined company. Merck Chairman, President and Chief Executive Officer Richard T. Clark will lead the combined company.

Based on the closing price of Merck stock on March 6, 2009, the consideration to be received by Schering-Plough shareholders is valued at $23.61 per share, or $41.1 billion in the aggregate. This price represents a premium to Schering-Plough shareholders of approximately 34 percent based on the closing price of Schering-Plough stock on March 6, 2009. The consideration also represents a premium of approximately 44 percent based on the average closing price of the two stocks over the last 30 trading days

CNBC is reporting that JP Morgan ( JPM ) is in advance talks to aquire Washington Mutual ( WM ).....WM jumped 10% on this news to $3.22.
